NON-DISCLOSURE AND NON-CIRCUMVENTION AGREEMENT

This Non-Disclosure and Non-Circumvention Agreement ("Agreement") is entered into as of the date of electronic acceptance between Rooftop Royale LLC ("Company") and the individual or entity accepting this Agreement ("Recipient").

1. CONFIDENTIAL INFORMATION

"Confidential Information" means any non-public business, technical, financial, operational, or strategic information disclosed by the Company, including but not limited to: financial projections, revenue data, membership numbers, expansion plans, system architecture, operational playbooks, investor materials, pricing structures, and any materials marked or reasonably understood to be confidential.

2. NON-DISCLOSURE OBLIGATIONS

Recipient agrees to: (a) hold all Confidential Information in strict confidence; (b) not disclose, distribute, reproduce, or transmit any Confidential Information to any third party without prior written consent of the Company; (c) use Confidential Information solely to evaluate a potential investment relationship with the Company; (d) promptly notify the Company upon discovery of any unauthorized use or disclosure.

3. NON-CIRCUMVENTION

Recipient agrees not to circumvent, avoid, bypass, or obviate the Company's interest in any transaction, introduction, or business relationship arising from information disclosed under this Agreement. Recipient shall not contact, solicit, or engage any Company employee, contractor, investor, customer, or business partner for any purpose related to the Company's business without prior written consent.

4. SURVIVAL TERM

The obligations under this Agreement shall remain in effect for a period of five (5) years from the date of acceptance, or until the Confidential Information enters the public domain through no fault of Recipient, whichever occurs first.

5. REMEDIES FOR BREACH

Recipient acknowledges that breach of this Agreement would cause irreparable harm to the Company for which monetary damages would be inadequate. In the event of a breach, the Company shall be entitled to seek injunctive relief, specific performance, and any other equitable or legal remedies available. This Agreement shall be governed by the laws of the State of Ohio.

6. ELECTRONIC ACCEPTANCE

By checking the acceptance box, Recipient agrees to be legally bound by this Agreement. This electronic acceptance constitutes a valid and binding signature under applicable law. Recipient's IP address and timestamp will be recorded as evidence of acceptance.
